VRTSYSTEMS Technologies is dedicated to providing comprehensive and innovative technology solutions, encompassing custom software development, IT consulting, cloud services, and system integration. Every project is meticulously designed to meet the unique operational requirements, strategic objectives, and specific challenges faced by each client, ensuring that the delivered solution aligns perfectly with their goals. The precise scope of work, project milestones, deliverables, and timelines are always clearly outlined in a formal written agreement or contract, establishing a mutual understanding of expectations and responsibilities, and minimizing the potential for misunderstandings, delays, or discrepancies. Furthermore, unless expressly restricted within the agreement, VRTSYSTEMS Technologies retains the right to leverage the knowledge, methodologies, tools, and frameworks gained from each engagement in future projects, enabling continuous improvement, adoption of best practices, and maintenance of the highest standards of quality and efficiency across all services we provide.

All pre-existing intellectual property, including proprietary code, frameworks, tools, and methodologies, remains the exclusive property of VRTSYSTEMS Technologies. Any deliverables that are specifically created and customized for a client will be transferred in accordance with the terms and conditions outlined in the applicable service agreement, ensuring clarity regarding ownership rights. Clients are strictly prohibited from copying, modifying, distributing, or reverse-engineering any software, tools, or proprietary materials without obtaining prior written consent from VRTSYSTEMS Technologies, thereby safeguarding our intellectual property and maintaining the integrity and security of our solutions.

Clients are expected to provide clear, accurate, and comprehensive project requirements, including timely feedback, access to all necessary resources, and active participation in review sessions, to ensure that project deliverables meet the agreed-upon expectations. In addition, clients agree to use the services provided by VRTSYSTEMS Technologies responsibly, refraining from any actions that could compromise system integrity, introduce malicious code, violate applicable laws or regulations, or otherwise harm data, systems, or third parties. Project timelines are closely tied to collaboration and responsiveness, so delays in providing information, approvals, or resources may affect delivery schedules. VRTSYSTEMS Technologies is committed to maintaining transparent communication regarding any potential delays and will work collaboratively with clients to adjust timelines as needed, ensuring successful project outcomes while upholding high standards of quality and accountability.

Both parties mutually agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the project. Such information shall not be disclosed, shared, or made accessible to any third party without obtaining prior written consent from the other party, except in circumstances where disclosure is required by law or regulatory authorities. This commitment ensures that all project-related data, strategies, and technical details are handled with the highest degree of care, protecting both the interests of the client and the intellectual property of VRTSYSTEMS Technologies throughout and beyond the duration of the engagement.

Payment terms, including schedules, amounts, and methods, will be clearly specified in the applicable service agreement or invoice to ensure full transparency and mutual understanding between the client and VRTSYSTEMS Technologies. Clients are expected to adhere to these terms, as late or missed payments may result in delays in project delivery or, if necessary, temporary suspension of services until all outstanding payments are received. This policy ensures that both parties maintain a structured and reliable workflow while protecting the integrity and continuity of project execution.

VRTSYSTEMS Technologies warrants that all deliverables will substantially conform to the specifications agreed upon in the service agreement for a defined, limited period, ensuring that the client receives solutions that meet the agreed quality and functionality standards. However, the company is not responsible for any issues, defects, or malfunctions arising from unauthorized modifications, improper use, or integration with third-party systems or software. Except as expressly provided in the service agreement, all services are offered "as is," without additional warranties, whether express or implied, and clients are advised to review the terms carefully to fully understand the scope and limitations of the services provided.

To the fullest extent permitted by law, VRTSYSTEMS Technologies shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, arising from the use or inability to use our services. The company's maximum liability for any claims, disputes, or losses related to a specific service shall in no event exceed the total fees paid by the client for that particular service, thereby ensuring clear limitations on potential financial exposure while maintaining fairness and legal compliance in all client engagements.

Either party may terminate the agreement in the event that the other party materially breaches any of these Terms and fails to remedy such breach within a reasonable period after receiving notice. Upon termination, the client remains responsible for all work completed and costs incurred up to the effective termination date, ensuring that both parties fulfill their obligations for services rendered and resources expended prior to the termination. This provision helps maintain accountability and protects the rights and investments of both the client and VRTSYSTEMS Technologies while providing a clear framework for resolving potential breaches.

These Terms are governed by and shall be interpreted in accordance with the laws of the Republic of the Philippines. Any disputes, controversies, or claims arising out of or in connection with these Terms or the services provided by VRTSYSTEMS Technologies shall be resolved exclusively in the courts located in Bulacan, Philippines. This ensures that all parties are subject to a consistent legal framework and provides clarity regarding the jurisdiction and applicable laws for any potential legal proceedings.
